1. Acceptance of Terms
By utilizing the I-Matjar website and our regional infrastructure services, you (“The Merchant”) agree to be bound by these Terms and Conditions. These terms govern I-Matjar services and fulfillment operations across our 7 supported markets: UAE, KSA, Iraq, Oman, Kuwait, Qatar, and Bahrain.
2. Scope of Service
I-Matjar provides an end-to-end logistics architecture, including:

Regional warehousing and inventory management.

Customs clearance facilitation.

Last-mile delivery and Cash on Delivery (COD) collection.

COD reconciliation and financial remittance to the Merchant.
3. Merchant Obligations & Compliance
The Merchant is solely responsible for ensuring that all products shipped through the I-Matjar network:
Comply with the local laws, religious customs, and cultural standards of the destination country (specifically regarding restricted items in the GCC and Iraq).
Are accurately described in all Packing lists.
Are packaged according to international transit standards to prevent damage.
4. COD Collection and Remittance
Collection: I-Matjar will collect the total invoice value from the end-customer in local currency.
Remittance: Net funds (total collection minus service fees and shipping costs) will be remitted to the Merchant according to the agreed billing cycle.
Currency: Exchange rates are determined at the time of remittance based on prevailing market rates.
5. Restricted and Prohibited Goods
I-Matjar reserves the right to refuse or seize any shipment. Prohibited items include, but are not limited to: hazardous materials, illegal substances, and items violating regional trade laws. Any legal fees, fines, or penalties resulting from the shipment of prohibited goods are the sole responsibility of the Merchant.
6. Limitation of Liability & Force Majeure
Indirect Loss: I-Matjar is not liable for loss of profit, loss of business opportunity, or any indirect or consequential damages.
Force Majeure: I-Matjar is not responsible for delays or inventory losses caused by events outside our direct control, including but not limited to: political instability, border closures, sudden regulatory changes, or customs inspections in the GCC and Iraq regions.
7. Fees, Right of Retention, and Asset Disposal
Payment Terms: The Merchant agrees to settle all invoices for warehousing, fulfillment, and shipping within the agreed timeframe.
Right of Retention: If any account balance remains unpaid for 30 days following the invoice due date, I-Matjar reserves the immediate Right of Retention over all Merchant inventory currently held within our facilities.
Absolute Authority to Dispose: Upon the expiration of the 30-day non-payment period, I-Matjar is granted immediate and absolute authority to take any action it deems necessary to recover costs or clear warehouse capacity without further notice. This includes:
Immediate Liquidation: The sale of goods to offset outstanding debts and administrative costs.
Immediate Disposal: The destruction or removal of goods from the facility.
Forfeiture of Title: Failure to settle balances within 30 days constitutes a voluntary waiver of ownership rights over the inventory in favor of I-Matjar’s recovery efforts.
I-Matjar shall be held harmless for any loss of value or damages resulting from actions taken under this clause.
8. Termination
Either party may terminate the service agreement with a 30-day written notice. All outstanding balances must be cleared, and all inventory must be removed at the Merchant’s expense prior to final account closure.
9. Governing Law
These terms shall be governed by and construed in accordance with the laws of the jurisdiction in which I-Matjar is registered, with specific adherence to the regional trade and logistics regulations of the GCC and Iraq.
